By accessing and using Count Us In ("the App"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms & Conditions, please do not use the App.

2. Description of Service

Count Us In is a social planning application that allows users to:

• Create and share event plans with selected contacts
• View and respond to event invitations
• Coordinate social activities with friends and contacts
• Communicate about events through the App

3. User Accounts

3.1 Registration

To use certain features of the App, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms & Conditions or engage in activities that harm the App or other users.

4. User Conduct

You agree not to:

• Use the App for any illegal or unauthorized purpose
• Harass, abuse, or harm other users
• Post false, misleading, or fraudulent content
• Impersonate any person or entity
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to the App or other users' accounts
• Use automated systems or bots to access the App
• Collect or harvest user information without consent

5. Content

5.1 User Content

You retain ownership of any content you post on the App. By posting content, you grant Count Us In a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content within the App.

5.2 Content Standards

All content must:

• Be accurate and not misleading
• Comply with applicable laws and regulations
• Not infringe on third-party rights
• Not contain offensive, discriminatory, or harmful material

5.3 Content Removal

We reserve the right to remove any content that violates these Terms & Conditions or is otherwise objectionable.

6. Intellectual Property

The App, including its design, features, graphics, and code, is owned by Count Us In and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or distribute the App or its content
• Reverse engineer or decompile the App
• Use our trademarks or branding without permission

7. Privacy

Your use of the App is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your information.

8. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the App will be uninterrupted or error-free
• Warranties regarding the accuracy or reliability of content

9. Limitation of Liability

To the maximum extent permitted by law, Count Us In shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the App
• Any unauthorized access to or use of our servers
• Any bugs, viruses, or other harmful code transmitted through the App
• Any errors or omissions in content

10. Indemnification

You agree to indemnify and hold harmless Count Us In, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms & Conditions
• Your violation of any rights of another party

11. Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. We will notify users of material changes by:

• Posting the updated terms within the App
• Updating the "Last Updated" date
• Sending a notification through the App (for significant changes)

Your continued use of the App after changes constitutes acceptance of the modified terms.

12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these Terms & Conditions or your use of the App shall be resolved through:

1. Good faith negotiations between the parties
2. If negotiations fail, binding arbitration in accordance with UK arbitration rules
3. Legal action in the courts of England and Wales as a last resort

14. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms & Conditions, together with our Privacy Policy, constitute the entire agreement between you and Count Us In regarding the use of the App.
